1 Why this further increase in capital?

The employee shareholder plan is part of a Group strategy, and has the following objectives:

  • To associate staff members with the Group’s performance by allowing them to benefit over the long term from the value created;
  • To strengthen their commitment in order to promote development and our common strategy;
  • To ensure ongoing development of the share of the capital of Crédit Agricole S.A. held by its employees.

2 What is being proposed?

The proposed formula is a “Classic” formula, which means that it involves a direct investment in the shares of Crédit Agricole SA:

  • You will have the benefit of a 20% discount on the reference price;
  • Your shares will be held on a personal account registered in your name;
  • You will receive directly payment of any dividends distributed by Crédit Agricole SA, which will contribute to your investment’s performance;
  • Your assets will change in value both upwards and downwards, reflecting movements in the market price for Crédit Agricole SA shares. Your capital is not guaranteed.

3 What will be the subscription price for the shares?

The shares will be issued at a 20% discount applied to the reference price for Crédit Agricole SA shares.
The reference price will be the average of the market opening prices for Crédit Agricole SA stock over 20 trading sessions from 26 may until 20 June 2025 inclusive.

The subscription price in euros will be announced on 23 June.

4 Which employees are eligible?

Eligible employees are all employees

  • who have a contract of employment (irrespective of its type) with a participating company between 24 June and 8 July 2025, and
  • who have at least 3 months’ seniority (from 1 January 2024) as of 8 July 2025.

5 If I leave the company on 5 July 2025, can I subscribe?

Yes, if you do in fact have the required three months’ seniority as of that date.

6 How do I subscribe?

  • The subscription is done online: click on “Subscribe” on the www.acr.credit-agricole.com site, log in with the identifier and your personal password, and complete the subscription page.
  • As an exception, if you do not have access to the Internet, you can subscribe using a hardcopy form available on site; you should send it to your HR manager.

It must be received no later than 8 July 2025.

7 What are the steps of the online subscription?

As from 20 June 2025, you will receive in your professional mailbox your login Id to the subscription site. Follow the instructions in the mail to choose your password.

From 24 June at 12 p.m. to 8 July at 8 p.m. (Paris time)::

  1. Click on Subscribe from www.acr.credit-agricole.com
  2. Indicate the login Id you received and the password you have chosen.
  3. Verify the information on the “Personal Information” page. Complete or modify if necessary. Some information is compulsory; it is marked with an asterisk. You also may wish to add a personal mail address in order to have a simpler access to the mails which might be sent during a vacation period.
  4. Fill in the subscription screen by indicating the number of shares you wish to subscribe,
  5. Agree to the terms and conditions that appear in a pop-up window.

  6. Confirm your subscription.

8 If I have lost my identifier and password, what should I do?

10 Is there a maximum subscription amount?

Two limits apply to your subscription. It cannot exceed either of the following two amounts

  • 25% of your estimated gross pay for the year, and
  • €40,000

A simulator is provided for you to check that the subscription you may wish to make is in fact compatible with these two limits.

11 What is meant by “annual gross pay”?

Your annual gross pay comprises your annual salary, your allowances and your bonuses paid in an entity in Crédit Agricole in the current year (i.e. 2025) before deduction of social security contributions or taxes payable by you.

12 If I have not been working in the Group for the whole of 2025 what amount of pay should I take into account?

If you started working in the Group during the year, you must take account of the estimated gross pay you will receive in 2025 between the date on which you arrived and 31 December.
If you are leaving the Group from 24 June 2025 and at a date that is already known, you must take account of the amount actually paid under your contract with the Group.

13 Is there a minimum investment amount?

The minimum investment is a single share in Crédit Agricole SA.

14 What are the tax rules?

The tax rules applicable to your investment are described in the Country Datasheet that can be found on this website. We urge you to look at this, especially where taxation relating to the share price discount is concerned: in Ireland this is covered by a beneficial tax regime.

15 Can I change my subscription application after I have registered it over the Internet?

You can change your subscription application on line up to 8 p.m. (Paris time) on 8 July 2025. Your order will however become firm and final on that date.

16 How and when shall I pay my subscription?

You will have to pay your subscription in August.
Your HR department will inform you about payment date and method in due course.

17 What does the maturity date mean?

This is the date on which your shares become available: the date is 29 August 2030 for subscribers from Irish based Group companies, in order to take advantage of the beneficial tax regime applicable to the share price discount.

18 What will happen if I resign during the lock-in period?

You will in fact continue to own the shares you have subscribed.

19 What will happen if my company is no longer a part of the Crédit Agricole group on the maturity date?

This would change nothing where you are concerned; you would still hold your shares.

20 Will I be obliged to sell my shares at maturity?

No, you can keep them on your account after that date and decide when to sell them.

21 Should I subscribe?

No entity and no representative of Crédit Agricole is permitted to provide advice on subscription.
The decision to subscribe or not and the amount subscribed will depend on the circumstances of each individual and his or her appetite or aversion for risk.
