1 Why this further increase in capital?

The employee shareholder programme is part of a Group strategy and has the following objectives:

  • to associate staff members with the Group’s performance by allowing them to benefit over the long term from the value created;
  • to strengthen their commitment in order to promote development and our common strategy;
  • to ensure ongoing development of the share of the capital of Crédit Agricole S.A. held by its employees.

2 What is being proposed?

The proposed formula is a “Classic” formula, which means that it involves a direct investment in the shares of Crédit Agricole SA:

  • You will have the benefit of a 20% discount on the reference price;
  • Your shares will be held on a personal account registered in your name;
  • You will receive direct payment of any dividends paid out by Crédit Agricole S.A., which will contribute to your investment’s performance;
  • Your assets will change in value both upwards and downwards, reflecting movements in the market price for Crédit Agricole SA shares. Your capital is not guaranteed.

3 What is the subscription price?

The subscription price will be set on 26 June 2024. It will be equal to the average opening price of the Crédit Agricole SA share from 29 May to 25 June 2024, minus a 20% discount.

4 When will the exchange rate be set?

The exchange rate will be set on 26 June 2024 and will be equal to the indicative exchange rate (fixing) published by the European Central Bank on its website on that same date.

 It will provide the basis for the payment of your investment if you pay in your local currency. You will incur no foreign exchange risk between the date at which you subscribe and the effective date of the capital increase (29 August 2024).

5 Which employees are eligible?

All employees of the companies participating in the offer and:

  • having a contract of employment with a participating company for at least one day between 27 June and 10 July 2024; and
  • with a length of service of 3 months, consecutive or not, calculated from 1 January 2023.

6 Can I subscribe if I leave the group on 5 July 2024?

Yes, if you have 3 months’ length of service on that date.

N.B.

  • if you have not received a letter or email with your subscription codes, contact your HR manager to confirm that you are on the list of eligible persons;
  •  if you subscribe, the termination of your employment contract is not considered an early redemption event for the assets invested in the ACR 2024.

7 How do I subscribe?

You can subscribe in one of two ways:

  • The simplest: over the Internet. Log on to
    www.acr.credit-agricole.com, click on “Subscribe”, identify yourself with your personal codes and complete the subscription screen.
  • If you do not have an Internet connection, you can subscribe by post by returning your subscription form completed and signed to your HRD, where it must be received no later than 10 July.

8 What are the steps for online subscription?

  1. Click on “Subscribe” on the website at www.acr.credit-agricole.com.
  2. Enter the login you have received and your chosen password.
  3. Check the information shown on the “Personal Information” page. Add to or change this as necessary. Some information is required and is marked with an asterisk. You may wish to provide a personal email address for easier access to emails sent during the holiday period.
  4. Complete the subscription screen with the number of shares you wish to subscribe for and confirm.
  5. Indicate your acceptance of the general terms and conditions as displayed in a pop-up window.
  6. Confirm your subscription.

9 I have lost my login and password, what should I do?

You can click on the “I have lost my password” or “I have lost my login and password” link on the subscription website.

10 Is there a maximum subscription amount?

Two limits apply to each employee’s subscription. It cannot exceed either of the following two amounts

  • 25% of your estimated gross pay for the year, and
  • €40,000

A simulator is provided for you on the website at

www.acr.credit-agricole.com to check that the subscription you may wish to make is in fact compatible with these two limits.

11 What is meant by “annual gross pay”?

Your gross annual pay comprises your annual salary, your allowances and your bonuses paid at a Crédit Agricole entity in the current year (i.e. 2024).

12 If I have not been working in the Group for the whole of 2024 what amount of pay should I take into account?

If you started working in the Group during the year, you must take account of the estimated gross pay you will receive in 2024 between the date on which you arrived and 31 December.

If you are leaving the Group after 27 June 2024 at a date that is already known, you must take account of the amount actually paid under your contract with the Group.

13 Is there a minimum investment amount?

The minimum investment is one Crédit Agricole S.A. share.

14 When and how must I pay for my subscription?

You must pay your subscription through your Human Resources department, which will indicate to you the procedures to follow and the deadline for payment

15 What tax rules apply?

The tax rules applicable to your investment are described in the Country Data Sheet that can be found on this website. We urge you to look at this, especially with regard to the tax rules applicable to the share price discount: in some countries this is covered by a beneficial tax regime.

16 Can I change my subscription once I have confirmed?

Yes, on the subscription website: you can change your subscription up to the last day of the subscription period (8 p.m. on 10 July 2024, Paris time). You have to cancel your subscription on the site and then enter a new subscription. The subscription taken into account will be the last one entered and confirmed at the end of the subscription period.

No, if you subscribe by means of a paper form: you can send only one form. If you then want to change your subscription, you will need to do so via the Internet.

Please note that if you use both the Internet and paper for your subscription, only the Internet subscription will be taken into account.

17 What does the maturity date mean?

This is the date on which your shares become available (except for early redemption): for the ACR 2024, the date is 1 June 2029.

18 How do I present a case for early redemption?

Valid cases for early redemption are described in the Country Data Sheet provided in the Documentation section of the website.

In the event your circumstances permit redemption, and you wish to take advantage of this, you should apply to your Human Resources manager. He/she will manage the process with Uptevia, the accounting office.

N.B.

  •  in order to redeem sums invested under the ACR 2024, the causative event must have arisen after 11 July 2024; in any event, redemption is not possible before 1 September 2024.
  • in certain cases, the application must be made within six months of the causative event.

19 What will happen if I resign during the lock-in period?

You will continue to own the shares you have subscribed. You should check whether resignation is a case justifying early redemption in your country by consulting the Country Data Sheet provided in the Documentation section of the website.

20 What will happen if my company is no longer a part of the Crédit Agricole group on the maturity date?

This would change nothing where you are concerned; you would still hold your shares.

However, other than in the event of breach of your employment contract, it will not be considered a valid case for early redemption.

21 Will I be obliged to sell my shares at maturity?

No, you can keep them on your account after that date and decide when to sell them.

22 Should I subscribe?

No entity or representative of Crédit Agricole is authorized to provide advice regarding this subscription.
The decision whether or not to subscribe and the amount subscribed will depend on the individual’s situation and his or her appetite or aversion for risk.

23 What impact does the exchange rate have on the value of my assets?

Crédit Agricole SA stock is listed in euros.
The value of your shares in the local currency will depend at all times on the market price for shares in Crédit Agricole SA and the exchange rate between your currency and the euro.

Between the date of your subscription and the date on which your shares are sold:

  • If your currency has appreciated against the euro, the impact on the value of your assets will be negative;
  • Otherwise, the impact will be positive.
